These Terms of Use govern your use of momentuum.com.au (the "Site") and any services you engage momentuum to provide (the "Services"). By using the Site or engaging our Services, you agree to these terms.
momentuum ("we", "us", "our") is the trading name of momentuum AI Automation, operated by Aftershock Solutions Pty Ltd (ABN 76 140 285 669) of SmartSpace, Enterprise 1, Innovation Campus, Squires Way, North Wollongong NSW 2500.
1. Using this website
You may browse and use this site for lawful purposes related to finding out about, and engaging, momentuum's services. You must not:
- use the site in a way that damages, disables or overburdens it
- attempt to gain unauthorised access to any part of the site or our systems
- copy, reproduce or republish the site's content for commercial purposes without our permission
2. Intellectual property in the website
All content on this site — text, design, graphics, the momentuum name and logo — belongs to momentuum / Aftershock Solutions Pty Ltd or our licensors, unless stated otherwise. You may view and print pages for your own personal, non-commercial use only.
3. Our services
momentuum offers a mix of free and paid services, including from time to time: a free Opportunity Review call, a paid Automation Roadmap Consult, custom automation builds, the 90-Day plan, and ongoing Managed Improvement. The specific scope, price and timeline for any paid work will be set out in a separate proposal, quote or invoice ("Engagement Terms") agreed between you and momentuum before work begins. Where anything in an Engagement Terms document conflicts with these Terms of Use, the Engagement Terms document takes priority for that specific engagement.
4. The Opportunity Review promise
If you complete an eligible Opportunity Review and we can't identify the minimum opportunity described in our promise on the Site, we'll refund the Review fee. You keep any findings from the Review either way. This promise applies to the Opportunity Review specifically and doesn't automatically extend to other paid engagements.
5. Fees and payment
Fees for paid Services are set out in the relevant proposal, quote or invoice for that engagement, and payment terms — including any deposit, milestone or upfront payment — will be agreed with you before work begins. Unless stated otherwise, fees are quoted in Australian dollars and may be exclusive of GST.
6. Third-party platforms and ongoing costs
Some automations or solutions we build may run on third-party software platforms. Where that's the case, you may need your own subscription or account with that platform, at your own ongoing cost, separate from momentuum's fees. We'll flag where this applies before you commit to a build, but you're responsible for any third-party subscription or licensing fees required to keep a solution running.
7. Ownership of deliverables
Once you've paid in full for a piece of paid work, you own the specific automation, workflow or system we built for you as part of that engagement. momentuum retains ownership of our own general methods, frameworks, templates and know-how — including anything reusable across other clients' work — which isn't transferred to you just because it was used in your build.
8. Support after delivery
For paid builds, we'll fix genuine defects in what we delivered, free of charge, for 14 days after delivery. Beyond that window, ongoing support, changes and maintenance are available under a separate paid arrangement, including Managed Improvement, and aren't included automatically in the original fee.
9. No guaranteed results
We don't guarantee a specific financial return from any Service. We provide evidence-based estimates, disclose our assumptions, agree a baseline with you, and measure what changes — but real-world results also depend on factors outside our control, including your data, your team's adoption of any new process, and your customers' behaviour.
10. Cancellation
Either of us may end an engagement by giving reasonable written notice. You remain responsible for paying for work already completed, or third-party costs already properly incurred on your behalf, up to the point of cancellation.
11. Liability
To the extent permitted by law, momentuum's total liability to you arising out of or in connection with a paid engagement is limited to the total fees you paid for that specific engagement. We're not liable for indirect or consequential loss. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that can't lawfully be excluded.
12. Website availability and disclaimers
We try to keep this site accurate and available, but we don't guarantee it will always be error-free, uninterrupted, or available. Content on the site is general information only and isn't advice specific to your business — nothing on this site should be relied on as a substitute for your own due diligence or professional advice.
13. Governing law
These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
14. Changes to these terms
We may update these terms from time to time. The "last updated" date above reflects the most recent version. For an active paid engagement, we'll let you know if a change materially affects you.
